These Terms of Service ("Terms") govern your use of the website located at north-bound-studio.com (the "Site") and any services provided by North Bound Studio LLC ("North Bound Studio," "we," "our," or "us").
By accessing the Site or engaging our services, you agree to be bound by these Terms. Please read them carefully. If you do not agree, do not use the Site or our services.
North Bound Studio LLC is a brand film and visual content studio offering services including, but not limited to, brand films, content days, brand photography, and related creative production services. Specific deliverables, timelines, and fees for any engagement are set out in a separate written agreement or proposal signed by both parties ("Project Agreement").
These Terms apply to your general use of the Site. Your engagement for specific production services is governed by the applicable Project Agreement, which supplements and, where there is a conflict, supersedes these Terms with respect to that engagement.
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others. You agree not to:
All content on this Site — including text, photographs, video, graphics, logos, and design — is the property of North Bound Studio LLC or its licensors and is protected by United States and international intellectual property laws. Nothing on this Site grants you any license to use our content without our express written permission.
Ownership of creative deliverables produced under a Project Agreement is governed by the terms of that agreement. Unless otherwise stated in writing, North Bound Studio LLC retains the right to display work produced for clients in its portfolio and marketing materials.
By providing us with materials (logos, footage, copy, etc.) for use in a project, you represent that you have the right to share those materials and grant us a limited license to use them for the purposes of completing your project.
Payment terms, deposit requirements, cancellation policies, and refund eligibility are set out in your Project Agreement. No refunds are guaranteed for work already completed or time already reserved. We reserve the right to pause or terminate work if invoices are not paid in accordance with the agreed schedule.
The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content on the Site.
To the fullest extent permitted by applicable law, North Bound Studio LLC and its members, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our services, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from or related to these Terms or your use of the Site shall not exceed the greater of (a) the amount you paid us in the three months preceding the claim, or (b) one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless North Bound Studio LLC and its members, employees, and contractors from and against any claims, liabilities, damages, judgments, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your infringement of any third-party right.
The Site may contain links to third-party websites. These links are provided for convenience only. We have no control over the content or practices of linked sites and accept no responsibility for them. Accessing third-party sites is at your own risk.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
We may revise these Terms at any time by updating this page and revising the Effective Date. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
